Manawa Māori delivers services to organisations under written agreements, proposals, statements of work, or other contracts (“B2B Agreements”).

• If you are an organisational client, your B2B Agreement governs the services we deliver to you.

• These Terms continue to apply to general website use, unless your B2B Agreement states otherwise.

• If there is any inconsistency between these Terms and a B2B Agreement, the B2B Agreement prevails for that engagement.

You agree to use our Services lawfully and respectfully. We may suspend or terminate access where we reasonably believe these Terms have been breached. You must not:

• Copy, reproduce, record, redistribute, or resell our content unless expressly permitted

• Share access credentials or allow others to use your account

• Use the Services in a way that disrupts, damages, or interferes with our systems

• Attempt to access restricted areas without authorisation

Some Services require you to create an account. You are responsible for:

• Keeping your login details secure

• Ensuring your account information is accurate

• All activity under your account

Access to digital products is generally provided immediately after payment is processed, unless otherwise stated on the product page.

Unless expressly stated otherwise, purchases provide single-user access for one individual only. When you purchase a course or digital resource, you receive a personal, non-transferable licence to access and use the content for your own learning purposes. You do not acquire ownership of the content. If you require access for multiple learners, please contact us for delivery options.

Prices are shown in New Zealand dollars unless otherwise stated and may include GST as indicated on the relevant page. We may update pricing at any time. You agree to provide current, complete, and accurate purchase information at checkout.

If you purchase a membership or subscription:

• Billing is recurring at the frequency shown at checkout

• You may cancel at any time to prevent future charges

• Access continues until the end of the current billing period, unless otherwise stated

If a payment fails, we may retry billing through your payment provider and may suspend access until the payment is resolved.

Our Refund Policy explains our position on refunds and remedies and forms part of these Terms. Because many of our offerings are delivered digitally with immediate access, we do not offer refunds for change of mind, incorrect selection, or non-completion, except where required by New Zealand consumer law.

Nothing in these Terms limits any rights you may have under the Consumer Guarantees Act or Fair Trading Act.

All course materials, resources, audio, video, text, templates, and design made available through our Services are owned by, or licensed to, Manawa Māori. Your purchase provides a personal, non-transferable licence for individual use only. You must not copy, reproduce, record, distribute, upload, or share our content, or make it available to others, unless we have expressly permitted this in writing.

From time to time, our Services may include content owned by third parties and used with permission, attribution, or under an applicable licence. Third party content remains the property of its respective owners. Your access to our Services does not grant you any right to reuse third party materials outside the course platform. Where attribution is required, we will provide it within the course materials. You agree not to remove, obscure, or alter any attribution, notices, or acknowledgements.

If a Service includes group spaces, calls, forums, or community channels, you agree to participate respectfully. We may remove content or restrict access where behaviour is harmful, unsafe, discriminatory, or disruptive.

Our Services provide learning and capability development. Outcomes vary based on your participation, time, and practice. We do not guarantee specific outcomes, employment results, or organisational outcomes unless expressly agreed in writing in a B2B Agreement. Our Services are not legal advice, HR advice, or compliance advice.

To the extent permitted by law, we exclude liability for indirect or consequential loss (such as loss of profit, business interruption, or loss of data). Where liability cannot be excluded, our liability is limited to the extent permitted by law. Nothing in these Terms limits liability where it cannot be limited under New Zealand law.

Our collection and use of personal information is explained in our Privacy Policy. You have rights to access and request correction of personal information we hold about you.

Our Services may include links to third party websites or rely on third party platforms (for example, payment processing and learning delivery). We are not responsible for third party services outside our control. Your use of those services may be subject to their separate terms.

We may update our Services, including improving content, refreshing modules, or changing delivery methods. We may also update these Terms from time to time. The most current version will be published on our website with the updated date.

These Terms are governed by the laws of New Zealand. Any disputes will be dealt with through the New Zealand courts, unless otherwise agreed in writing.
